Terms and Conditions
1. ABOUT US
1.1 These general terms of use are issued by Via del Premio Limited, a company incorporated under the laws of Gibraltar with company number 126740 and registered office at Madison Building, Midtown, Queensway, Gibraltar, GX11 1AA ("Promoter", "we", "us", "our(s)"), which operates prize competitions and free promotional competitions on the website www.villawin.co.uk and any associated apps (the "Website") and at selected events, including events organised together with our promotional partners.
1.2 We run two types of competitions (each a "Competition" and together the "Competitions"):
(a) "Prize Competitions" – prize draws in which the outcome (and therefore the allocation of prizes) is determined by chance, and for which there is both a paid entry route and a free postal entry route for entrants to choose between (see clause 7). Depending on the Prize Competition, the paid entry route is the purchase of Tickets, a VillaWin Pass (see clause 8), or both, as stated on the relevant Competition page; and
(b) "Free Competitions" – promotional prize draws in which the outcome is equally determined by chance, but which are exclusively free to enter: no Tickets are available for purchase, and entries are awarded as described in clause 10.
No purchase is necessary to enter or to win any Competition, and each entry into a Competition, however it is made or obtained, has the same chance of winning a prize as any other entry into the same Competition.

2. APPLICABILITY AND ACCEPTANCE
2.1 By using the Services (see clause 2.3 below for how ‘Services’ is defined), you are entering into a legally binding agreement with us, which is comprised of:
(a) these general terms of use (‘Terms of Use’);
(b) any rules that apply to specific Competitions that we offer, which can be found on, or are linked from, the relevant Competition page(s) of the Website (‘Competition Rules’);
(c) where you buy a VillaWin Pass, the details of that Pass – its price, billing period and benefits – as shown on the Pass page of the Website when you buy it and confirmed to you by email (‘Pass Details’); and
(d) any terms that apply to specific promotional activities that we may offer (for example, refer-a-friend or free-ticket promotions), which can be found on the relevant promotion page (‘Promotional Terms’).
Together, the Terms of Use, the Competition Rules, the Pass Details and the Promotional Terms shall be referred to as the ‘Terms and Conditions’.
2.2 We may, from time to time, organise promotional campaigns and promotional prize draws, whether alone or together with third-party promotional partners. Free Competitions are governed by clause 10 of these Terms of Use, referral programmes by clause 11 and Matchday Challenge promotions by clause 12, in each case together with the parameters stated on the relevant Competition or promotion page. Promotional activities and mechanisms – including Free Competitions, referral programmes and Matchday Challenge promotions – are available only when, and as, published on the Website; we are under no obligation to make any of them available at any particular time, and the fact that a promotional activity has been offered in the past does not create any entitlement to its repetition or continuation. The details of how any other specific promotional activity operates – including any free tickets, bonus credit, or similar – are set out on the relevant promotion page, and these Terms of Use apply to any promotional activity to the extent relevant and not inconsistent with its Promotional Terms.
2.3 The Terms and Conditions apply to you whenever you use the Website, register for an account with us, enter into any Competition, purchase any tickets to enter online Prize Competitions (‘Tickets’), buy or hold a VillaWin Pass, receive or use Game Credit (see clause 9), receive or use any Free Entries (see clause 10 below for how ‘Free Entries’ is defined), participate in any of our promotional activities, win any prize, or otherwise use, access and/or interact with any of the products, services or functionality offered by us, which are collectively referred to as the ‘Services’.
2.4 In the event of any conflict or inconsistency between the Terms of Use, the Competition Rules, the Pass Details and/or the Promotional Terms, the order of priority in which they shall apply will be: the Promotional Terms, then the Competition Rules and the Pass Details, then the Terms of Use.
3. CHANGES TO THE TERMS AND CONDITIONS
3.1 We may make changes to the Terms and Conditions from time to time (for example, to comply with a change in applicable law). Where we make any material changes, we will take reasonable steps to provide notice to you in advance where reasonably possible, and we also recommend that you periodically check the Website for updates. Any changes will not apply to any entry you have already submitted, but will apply to any entry you submit after the change takes effect. If you do not agree to the changes, you must stop using the Services and you may close your account. Changes to the price or benefits of a VillaWin Pass are governed by clause 8.4.
4. ELIGIBILITY
4.1 The Services are intended to be offered to persons whose legal permanent residence is in the United Kingdom (‘UK’). You must be at least 18 (eighteen) years old to use the Services, and by registering an account with us, you confirm that you are aged 18 (eighteen) or older and have capacity to enter into a legally binding contract with us as set out in the Terms and Conditions. We may carry out age, identity and eligibility checks at any time, and may require you to provide documentary evidence of your age, identity and eligibility before a prize is awarded.
4.2 No employee, officer, director, consultant, contractor or agent of Aston Villa Football Club Limited, Aston Villa Women’s Football Club Limited and Aston Villa Foundation, nor any member of their household, may enter or participate in any Competition, whether directly or indirectly. Any entry made in breach of this clause shall be invalid.
4.3 No employee, officer, director, consultant, contractor or agent of the Promoter or of any company within the Promoter’s group, nor any member of their household, may enter or participate in any Competition, whether directly or indirectly. Any entry made in breach of this clause shall be invalid.
4.4 By using the Services, you confirm that you are not breaching any laws in the country where you hold legal permanent residency and/or any jurisdiction from which you access and use the Services. We do not intend that the Services be used by persons in jurisdictions where such activities are prohibited by applicable law, and we will not be held responsible nor accept any liability for your unlawful use of the Services in such circumstances. If in any doubt, you should immediately cease using the Services and check with the relevant authorities in the relevant jurisdiction. In addition to the foregoing obligations, you acknowledge and accept that you must not use the Services from any of the following prohibited jurisdictions: Cuba, Iran, North Korea, Syria, Venezuela, the following regions of Ukraine: Crimea, Donetsk, Kherson, Luhansk, Zaporizhzhia, Afghanistan, Belarus, Burundi, the Central African Republic, the Democratic Republic of Congo, Republic of Guinea, Republic of Guinea-Bissau, Iraq, Lebanon, Libya, Mali, Myanmar (Burma), Nicaragua, Russia, Somalia, Sudan, South Sudan, Tunisia, Yemen, and Zimbabwe.
1.5 If we become aware that you have entered in breach of any of the eligibility criteria above (including if we become aware that you have accessed or used the Services from a country where it is unlawful for you to do so and/or which is listed as a prohibited jurisdiction in clause 4.4), we will revoke your participation in any and all Competitions, and any prizes, Tickets, Free Entries or other entries associated with your account will be void.
5. YOUR ACCOUNT
5.1 In order to enter a Competition, you must register an account with us using a valid email address or a social media account (such as Facebook, Google or Apple). You must provide accurate and complete information (including your name, address, date of birth and telephone number) and keep it up to date. It is your sole responsibility to ensure that your contact details are recorded correctly, and we will not be held responsible if you record them incorrectly. Where we allow you to buy a VillaWin Pass before your registration is complete, we will open your account with the details you give us at checkout, where you must confirm that you meet the requirements in clause 4.1. You can be entered into Prize Competitions in the meantime, but you must complete your registration before any prize can be awarded to you. If you have not done so within 10 (ten) calendar days of our asking you to, we may treat the prize as forfeited under clause 14.4.
5.2 You may register only 1 (one) account, which must be for your own personal use and not for the benefit of any third party. You are responsible for keeping your login details secure and for all activity that occurs under your account. You have the right to close your account at any time.
5.3 We may suspend, restrict or close your account, invalidate Tickets or Free Entries, or withhold or void prizes where we reasonably believe that you have breached the Terms and Conditions, abused the Services or other customers or staff, or that the entries are not genuinely being made by you, or where we otherwise consider it necessary to ensure the fair treatment of customers or the integrity of our Competitions. Any action we take under this clause will be proportionate.
5.4 We provide a range of tools to help you manage your participation in our Competitions. Details of the available tools can be found in our Mindful Play Policy on the Website, and include the ability to set spending limits from your first purchase, to take a break, and to suspend or close your account.
5.5 If you do not log in to your account for a continuous period of 12 (twelve) months, your account will be deemed inactive. We will take reasonable steps to notify you at your registered email address before your account becomes inactive. Once your account is inactive, any unused Free Entries and other promotional benefits associated with it will lapse and be void; entries already submitted into a Competition that has not yet been drawn are not affected. We may subsequently archive an inactive account, and we will retain and delete the personal data associated with it in accordance with our Privacy Policy. Your account will not be deemed inactive while you hold a VillaWin Pass.
5.6 We may, at our discretion and on reasonable grounds, suspend or restrict an account, or decline entries, where we consider this necessary to protect a customer or to ensure the fair treatment of customers, including where information available to us indicates that continued participation could reasonably be expected to cause harm or to impair informed decision-making. Any action we take under this clause will be proportionate, and nothing in this clause imposes an obligation on us to monitor or assess individual circumstances.
5.7 From time to time, we may offer a promotional account status (for example, 'Founder' status). The qualifying conditions, the benefits and the duration of a status are those stated on the relevant promotion page. If the page states no duration, the status lasts until we withdraw it on reasonable notice. Where we describe a status or a benefit as 'lifetime', we mean the lifetime of your account, not your own lifetime. A lifetime status and its benefits last for as long as your account remains active. Every status lapses if your account is closed or becomes inactive under clause 5.5. For as long as your status lasts, we will not reduce the benefits stated on the promotion page when you qualified. We may add further benefits, and we may change or withdraw those added benefits on reasonable notice. A status is personal to your account, is non-transferable, has no monetary value and cannot be exchanged for cash. It does not affect your chances of winning any Competition or the free entry routes.
6. USE, ACCESS AND AVAILABILITY OF THE SERVICES AND INTELLECTUAL PROPERTY
6.1 Subject to your compliance with the Terms and Conditions, we grant you a limited, revocable, personal, non-transferable and non-exclusive licence to use the Services for your own personal, non-commercial use. You must not, and must not permit or assist any other person to, copy, modify, reverse engineer or create derivative works based on the Services, or sell, sub-licence or otherwise commercially exploit them.
6.2 The Services, and all text, graphics, images, photographs, video and other content contained in them, together with all intellectual property rights in the Services, are owned by us or our licensors and are protected by law. You may not copy, reproduce or modify them, in whole or in part, without our prior written consent.
6.3 We will provide the Services using our reasonable skill and care and we will use reasonable efforts to ensure the smooth maintenance and operation of the Services, but we do not warrant or represent that any aspect of the Services (including the availability of the Website) shall be uninterrupted or error-free, free from viruses or other harmful components, or that you will be able to access or use the Services at any time or location of your choosing. You are solely responsible for ensuring that you can access the Services, including ensuring that you have a secure internet connection to use the Services.
6.4 We reserve the right to, at any time in our sole discretion, do any of the following: (i) implement any technical changes or improvements to the Services; (ii) fix bugs, system failures or software issues; (iii) improve the security of the Services; and (iv) ensure compliance with applicable laws. Where we make any other modifications to the Services (including by withdrawing, suspending, removing, amending, or altering products), we will try to provide prior notice to you, where possible, provided that some amendments to the Services may need to be made with immediate effect and without notice.
6.5 You hereby acknowledge and accept that in accordance with applicable law, we have the right to suspend, delete, terminate and/or disable your account and/or remove your access to the Services: (i) immediately, without notice, where you have breached any provisions of the Terms and Conditions (including, for the avoidance of doubt, where you engage in any of the prohibited activities provided in clause 18.1); or (ii) for any reason by providing reasonable notice in advance, where reasonably possible. If we have reasonable grounds to suspect that you have engaged in any of the prohibited activities provided in clause 18.1, then we may immediately suspend your account whilst we consider the matter further and during this period of suspension, you agree to cooperate with our investigations and you will not be able to access your account (including any Tickets you have purchased). If we determine in our reasonable discretion that you have engaged in a prohibited activity, then we shall be entitled to permanently close your account, remove your access to the Services, withhold, void, or demand the return of, any prizes, and share your details with any relevant law enforcement agencies and/or regulatory authorities.
6.6 We use certain third-party tools to deliver and display promotional campaigns, offers and rewards (including Free Entries). Ad-blocking or similar content-blocking software or settings on your device may prevent promotional offers, rewards, Free Entries or related communications from being displayed, delivered or credited to you, and may restrict some features of the Website. We recommend that you disable or adjust any such software for the best experience of the Services. To the fullest extent permitted by applicable law, we will not be responsible where you do not receive, or cannot benefit from, any promotional offer, reward, Free Entry or communication, or where a feature of the Website is restricted, as a result of any such software or settings.
7. ENTERING A PRIZE COMPETITION
General
7.1 We may operate one or more Prize Competitions at the same time. Each has its own prize or prizes, closing date and time, draw date, entry routes, Ticket price (where Tickets are sold), maximum number of entries available (where there is one) and maximum number of entries permitted per person, as specified on the relevant Competition page on the Website. The maximum number of entries per person applies regardless of how those entries are obtained: Tickets, Pass Entries and free postal entries all count towards it. We currently run the following types of Prize Competition, and the Competition page tells you which type a Prize Competition is:
(a) ‘Villa Exclusive Draws’ – Prize Competitions for which no Tickets are sold: you enter with Pass Entries (see clause 8) or free of charge by post;
(b) ‘Big Prize Draws’ – Prize Competitions that you enter by buying Tickets, with Pass Entries or free of charge by post;
(c) ‘Instant Wins Draws’ – Prize Competitions that run for a calendar month, in which each entry (an ‘Instant Win Ticket’) is played by you and checked against winning entries selected at random before the competition opens (see clause 14.6): you enter by buying Tickets, with the Instant Win Tickets included in a VillaWin Pass or free of charge by post; and
(d) ‘Daily Wins’ – series of identical Prize Competitions that follow one another (see clause 13.4): you enter by buying Tickets or free of charge by post. Pass Entries are not available for Daily Wins.
We may add, rename or withdraw types of Prize Competition from time to time.
7.2 You have a choice of whether to participate in a Prize Competition by paying – for one or more Tickets online or, where the relevant Competition page so provides, for a VillaWin Pass – or free of charge by post (see ‘Free Postal Entry’ below). Whichever route you choose, each entry has the same chance per entry of winning a prize.
7.3 We reserve the right to refuse or disqualify any incomplete entry, or any entry where we have reasonable grounds to believe that you have committed a material breach of the Terms and Conditions, in which case the entry will be forfeited and no refund will be due. To the fullest extent permitted by applicable law, all entries become our property and will not be returned. For the avoidance of doubt, only the Ticket or entry recorded in our systems, howsoever displayed or calculated, shall be entered into the relevant Competition. Where a Competition page displays a list of entrants (‘Entrants List’), your appearance on it confirms that your entry has been recorded. The Entrants List shows each entrant once, by name and town in the format chosen in their account settings, together with the time of their latest entry. Ticket numbers are not shown, except the winning one after the draw. The Entrants List is provided for information. If it differs from the entries recorded in our systems, our systems prevail.
Paid online entry
7.4 To enter online, follow the on-screen instructions to select the Prize Competition, provide your contact and payment details, confirm that you have read and accepted the Terms and Conditions, and complete payment. Tickets can be paid for with money or with Game Credit (see clause 9). Pricing is at our discretion and is specified at the point of sale. You will not be deemed entered until your payment has cleared and your entry has been recorded in our systems. We will send you an email confirmation of each purchase. Except as expressly provided in clause 25 or as required by law, once a Ticket has been used to enter a Prize Competition, no refund, credit or exchange shall be made in respect of it.
Free Postal Entry
7.5 You may enter any Prize Competition free of charge by post, with the same chance per entry of winning a prize as a paid Ticket. Other than the cost of ordinary first or second class postage, there is no requirement to pay to enter by the postal route.
7.6 To enter by post, you must send a clear handwritten postcard or letter (mechanically produced entries are not permitted), by first or second class post to Via del Premio Limited using the following address: Unit 3, Imperial Studios, 3-6 Imperial Road, London SW6 2AG, United Kingdom, and containing the following information: (i) full name, (ii) address (including city and post code), (iii) phone number, (iv) registered e-mail address for your VillaWin account, (v) name of the Competition you want to enter, and (vi) if applicable, your choice of prize from the selection available for the respective Competition in respect of Competitions where entrants must pre-select a prize.
7.7 You must have registered an account before sending your postal entry, and the details on the postcard must match the details on your account. A maximum of 1 (one) entry is permitted per letter or postcard; multiple letters or postcards sent in the same envelope will not be counted. You may send separately as many letters or postcards as you wish, up to the maximum number of entries permitted per person for that Prize Competition. We will allocate a number to each valid postal entry at random from the numbers available (for Instant Wins Draws, see clause 14.6). Postal entries are processed on working days, in the order in which we receive them. We will confirm each postal entry to you by email once it has been entered, and it will appear in your account and on the Entrants List. A valid postal entry into an Instant Wins Draw is credited to your account as an Instant Win Ticket, which you must play before that competition closes.
7.8 Postal entries must be received by us before the Prize Competition closes (see clause 13). All valid postal entries received before closing are processed and entered into the draw alongside the other entries. Each postal entry takes one of the entries available in the Prize Competition, so a postal entry received after a Prize Competition has closed – whether at the stated closing time or because all available entries have been taken – cannot be entered into it. Daily Wins run in series. A postal entry for a Daily Win names the series, not a particular competition, and is entered into the Daily Win of that series that is open when we process it. If no Daily Win of the series is open at that time, or if you have already reached the maximum number of entries per person for the open one, the postal entry is void and is not carried forward. Any postal entry that does not comply with the requirements of this clause 7 will be void.
7.9 Postal entries are sent at your own risk. We are not responsible for postal entries that are lost, delayed, damaged or misdirected in the post, or that are sent with insufficient postage, and proof of posting is not proof that we received an entry. What counts is the time at which your entry reaches us, not the time at which you posted it, so please allow enough time for delivery before the Prize Competition closes.
8. VILLAWIN PASS
8.1 A ‘VillaWin Pass’ (‘Pass’) is a subscription, available in the tiers and for the billing periods shown on the Pass page of the Website. On the Website we may also call the Pass a membership or a subscription. It is not an Aston Villa membership. Your Pass gives you the benefits set out in your Pass Details, which may include entries into Prize Competitions, including Instant Wins Draws (‘Pass Entries’), and Game Credit on the Tickets you buy (see clause 9). A Pass does not change the chance of winning of any individual entry, and every Prize Competition that accepts Pass Entries can also be entered free of charge by post (see clause 7). Pass benefits are personal to your account. They cannot be transferred or exchanged for cash.
8.2 Your Pass Entries are added to the My Account section of your account automatically. When your Pass starts, you receive them for every Prize Competition covered by your Pass that is open at that time, and afterwards for every new one when it opens. For all Prize Competitions except Instant Wins Draws, your Pass Entries are also entered into the competition automatically, and you do not need to do anything. For Instant Wins Draws, your Pass Entries are added to My Account as Instant Win Tickets for each monthly period of your Pass, and you must enter them yourself by playing them. You can play them in any Instant Wins Draw that is open during that monthly period, where they count towards the maximum number of entries permitted per person. Any that you have not played by the end of that monthly period expire. For a yearly Pass, the monthly periods are counted from the day your Pass started. Your Pass Details show which Prize Competitions your Pass covers.
Pass Entries count towards the maximum number of entries permitted per person. If you are close to that maximum in a Prize Competition, you receive only as many Pass Entries as it takes to reach it. If you have already reached it, you receive none. No refund, credit or replacement is due for Pass Entries that you do not receive for this reason.
Your Pass Entries stay valid only if your Pass is paid up when the Prize Competition closes. If your Pass has ended by then, or a payment for it is overdue, your Pass Entries in that Prize Competition, and any Instant Win Tickets from your Pass that you have not yet played, are void.
8.3 Your Pass starts when your first payment is confirmed, which can take up to 15 (fifteen) minutes, and we are not responsible if a Prize Competition closes in the meantime. It continues for an indefinite period and renews automatically at the end of each billing period until it is cancelled. By buying a Pass you authorise us and our payment service providers to store your payment details and to charge the Pass price at the start of each billing period without asking you again. If a renewal payment fails, we may retry it several times over a period of up to 30 (thirty) days. While a payment is overdue, clause 8.2 applies to your Pass Entries, and if payment is still not received we may suspend or end your Pass.
8.4 We may improve the benefits of a Pass at any time. We will give you at least 30 (thirty) days’ notice by email of any increase in the price of your Pass. The new price applies from your first renewal after the notice period, and you may cancel before then at no cost. A reduction in the benefits of your Pass applies to you only if you accept it. If you do not, your Pass will end at the end of the billing period in which our notice expires.
8.5 Your right to change your mind. You can cancel a new Pass within 14 (fourteen) days of buying it, without giving a reason, by telling us clearly that you wish to do so. You can do this in your account, by email to support@villawin.co.uk, or using the model cancellation form below. When you buy a Pass, you ask us to start it immediately. If you then cancel within the 14 (fourteen) days: (a) your Pass Entries in Prize Competitions that have not yet closed, and any unplayed Instant Win Tickets from your Pass, are void; (b) we will refund the price you paid, less the part of it that corresponds to the Pass Entries you have used; (c) unspent Game Credit earned through your Pass is removed; and (d) any prize you have already won is not affected. A Pass Entry is used if it was in a Prize Competition that closed before you cancelled, or if it is an Instant Win Ticket that you have played. The part of the price that corresponds to the Pass Entries you have used is worked out in proportion, by comparing their number with all the Pass Entries allocated to you under the Pass up to the day you cancel. For a yearly Pass, this calculation applies to one-twelfth of the price, and the rest is refunded in full. We also deduct any Game Credit earned through your Pass that you have already spent. The refund cannot be less than zero. We will make the refund within 14 (fourteen) days, to the payment method you used.
8.6 After that, you can cancel your Pass at any time, in your account or by contacting us, and we will confirm your cancellation by email. Subject to your cancellation notice being received by us at least 2 working days prior to your next renewal date, the cancellation will take effect at the end of the billing period in which you send your notice to cancel. Your Pass stays active until then, and no refund is due for that period. Pass Entries in Prize Competitions that close after your Pass has ended are void (see clause 8.2).
8.7 If you suspend or close your account, or we do so under clause 5, your Pass will not renew, no further payments are taken and no further Pass Entries are allocated to you. Pass Entries already allocated remain subject to clause 8.2.
8.8 We may decline to sell a Pass, limit the availability of Passes or of any tier, or stop offering Passes to new customers. This does not affect a Pass that is already running, unless we stop offering Passes altogether, in which case we will give you reasonable notice and your Pass will end at the end of the billing period you have paid for.

9. GAME CREDIT
9.1 ‘Game Credit’ is a promotional balance in your account that can be used, pound for pound, to pay for Tickets in any Prize Competition for which Tickets are sold. Game Credit cannot be bought, withdrawn, transferred or exchanged for cash, and cannot be used to pay for a Pass. A purchase must be paid for either wholly with Game Credit or wholly with money.
9.2 You may receive Game Credit: (a) as a Pass holder, as a percentage of the money you spend on Tickets, at the rate shown for your tier in your Pass Details; (b) as a benefit of a promotional account status (see clause 5.7) or of another promotion; or (c) as a prize. Game Credit earned on a purchase is credited immediately after the purchase. Purchases made with Game Credit, and the price of a Pass, do not earn Game Credit.
9.3 Game Credit earned on purchases expires 30 (thirty) days after it is credited. Game Credit awarded as a prize or in a promotion expires on the date stated when it is awarded or, if no date is stated, 30 (thirty) days after it is credited. The expiry date of your Game Credit is shown in your account, the oldest Game Credit is used first, and Game Credit that expires unused lapses without compensation.
9.4 Entries bought with Game Credit are entries like any other. They count towards the maximum number of entries permitted per person and have the same chance of winning. If a purchase on which you earned Game Credit is refunded or charged back, we may remove the Game Credit earned on it. Unused Game Credit lapses when your account is closed.
10. FREE COMPETITIONS
10.1 Free Competitions are promotional competitions which are exclusively free to enter. It is not possible to buy a Ticket for, or otherwise pay to enter, a Free Competition, and no payment or other financial commitment of any kind is required or accepted in connection with a Free Competition. Because participation is entirely free, the free postal entry route described in clause 7 does not apply to Free Competitions. We may run Free Competitions before, alongside or independently of any Prize Competition.
10.2 Entries into Free Competitions (‘Free Entries’) are awarded by us and cannot be bought. We may award Free Entries:
(a) where you complete a qualifying action, such as registering an account for the first time (including after scanning a promotional QR code at an event or in the materials of a promotional partner), referring a friend who genuinely registers an account (see clause 11), interacting with our social media or email promotions, completing a questionnaire or survey that we make available, redeeming a promotional or voucher code, or completing other activity on the Website; or
(b) as a prize or benefit won in another Free Competition, where the relevant Competition page so states. For the avoidance of doubt, Free Entries are not offered as prizes or benefits in Prize Competitions.
We reserve the right to define and adjust the qualifying actions and the number of Free Entries awarded for them at any time, and all current methods of obtaining Free Entries will be clearly communicated and made accessible to potential participants on the relevant Competition or promotion page.
10.3 You must have registered an account for a Free Entry to be awarded to you, and Free Entries are allocated to your account. We will send you an email confirmation of each confirmed entry into a Free Competition, and details of your Free Entries – including any expiry date and the Competition(s) for which they are valid – will be shown in your account.
10.4 Free Entries that expire unused simply lapse. Free Entries have no monetary value, are non-transferable, cannot be exchanged for cash, Tickets or any other benefit, and no refund, payment or compensation is due in respect of them. Free Entries obtained in breach of the Terms and Conditions (see clause 18) are void.
10.5 Each Free Competition runs for the promotion period specified on the relevant Competition page, which will state the closing date and time, the prize, the maximum number of entries permitted per person and the date of the draw. The closing of Free Competitions is governed by clause 13, and the draw and the winner-selection process by clause 14, in the same way as for Prize Competitions: the winner is determined entirely at random from all valid and eligible Free Entries.
10.6 The Promoter of every Free Competition is Via del Premio Limited, including where a Free Competition is promoted at an event or through the channels of a promotional partner (for example, a football club); promotional partners do not act as promoter and are not responsible for the Free Competition.
10.7 The eligibility requirements in clause 4 apply to Free Competitions in the same way as to Prize Competitions, and the winner of a Free Competition may be required to provide documentary evidence of their age and identity (including a copy of photo identification) before the prize is awarded, in accordance with clauses 4.1 and 14.
11. REFER A FRIEND
11.1 We may operate, from time to time, a referral programme allowing registered account holders (‘Referrers’) to invite friends to register with VillaWin (‘Referees’). A referral programme is available only when, and as, published on the Website; participation in, or rewards received under, one referral programme do not create any entitlement to participate in, or to receive rewards under, any future referral programme. When a referral programme is active, its details – including the reward, the qualifying period, any benefit for the Referee and any limits – will be published on the relevant promotion page of the Website. This clause 11 sets out the general rules that apply to every referral programme.
11.2 Each eligible Referrer will be provided with a unique referral link or referral code (‘Referral Link’). You may share your Referral Link personally with friends, family and acquaintances through lawful communication channels (for example, personal messages, email or your own social media accounts), provided that you comply with this clause 11.
11.3 A referral is a ‘Qualifying Referral’ only where all of the following conditions are met:
(a) the Referee is a new customer, who does not have and has not previously had a VillaWin account;
(b) the Referee registers an account using the Referral Link within the period stated on the relevant promotion page;
(c) the Referee meets the eligibility requirements in clause 4 and completes all registration and verification steps; and
(d) the referral does not, in our reasonable opinion, involve fraud, duplicate or linked accounts, self-referral or any other breach of the Terms and Conditions.
11.4 For each Qualifying Referral, the Referrer will receive the reward stated on the relevant promotion page, which may be one or more Free Entries, Game Credit or another benefit. Rewards are credited once the Referee’s account has been verified. Clause 10 applies to any Free Entries awarded under this clause, and clause 9 to any Game Credit. Any benefit for the Referee will be as stated on the relevant promotion page.
11.5 Only referrals successfully recorded and tracked by our systems will count. We are not responsible for referrals that fail to register due to user error, ad blockers, browser settings or technical issues, and our system records are decisive as to the timing, tracking and verification of referrals.
11.6 When participating in a referral programme, you must not:
(a) use spam, unsolicited bulk messages or inaccurate or misleading methods to solicit referrals;
(b) post your Referral Link on commercial coupon, voucher-code or deals websites, or use paid advertising to promote it;
(c) use stolen or fake accounts, bots or automated scripts to generate referrals;
(d) self-refer (including under another identity or through another account) or otherwise manipulate the referral mechanism or its tracking;
(e) encourage, assist or induce any other person to breach this clause 11;
(f) promote your Referral Link outside the UK (see clause 4.1), or in any jurisdiction where doing so would be unlawful;
(g) publish obscene, offensive, defamatory or otherwise unlawful content in promoting your Referral Link; or
(h) breach any applicable law, regulation or advertising rules.
11.7 We may limit the number of Qualifying Referrals that are counted for rewards (any limit will be stated on the relevant promotion page), and we may disqualify any participant, void their referrals and reclaim any rewards awarded where we reasonably believe that this clause 11 has been breached; clauses 5.3 and 18 apply. Rewards are personal to the Referrer’s verified account, are non-transferable and have no cash value; if the account is closed or suspended in accordance with the Terms and Conditions, pending and unused rewards will lapse.
11.8 We may amend, suspend or terminate any referral programme at any time, and we will try to provide prior notice where reasonably possible. Qualifying Referrals completed before any suspension or termination takes effect will be honoured.
12. MATCHDAY CHALLENGE
12.1 From time to time, we may publish free 'Matchday Challenge' rounds on the Website in connection with specified football or other sports matches (each a 'Round'). Each Round is a Free Competition: clause 10 applies to it except as varied by this clause 12, participation is free, and no payment or other financial commitment of any kind is required or accepted in order to take part or to win. Each Round is available only when, and as, published on the Website (see clause 2.2), opens when it is published and closes at the time stated on the relevant promotion page and, in any event, no later than the scheduled start of the relevant match.
12.2 To take part, you must have a registered account and, before the closing time, answer the questions about the relevant match published on the relevant promotion page, selecting one of the answer options given for each question. Unless the promotion page states otherwise, 1 (one) entry may be submitted per account for each Round, an entry must answer every question, and an entry is final once submitted.
12.3 Unless the relevant promotion page states otherwise, the questions in each Round relate to the relevant match at the end of regulation time (including any stoppage time added by the referee, and excluding extra time and penalty shoot-outs) and are settled on the result, events and statistics of the match as recorded at the end of the match by its official organiser or, where the promotion page names one, by the sports data provider named there. That record is decisive: no later amendment, annulment or forfeit of the result will affect the outcome of the Round and, if the record does not allow the correct answer to a question to be determined, we will, acting reasonably, either determine it or declare the question void and disregard it.
12.4 After the relevant match has finished, all entrants who answered all of the questions correctly will be entered into the promotional prize draw for that Round. The number of winners and the nature and number of prizes will always be stated on the relevant promotion page. The draw is governed by clause 14, save that each Round will have the number of winners stated on the promotion page, in place of the single winner referred to in clause 14.2. Prizes are governed by clause 15, and the announcement and publication of winners – including on our social media channels – by clause 17. Unless the relevant promotion page states otherwise, each winner receives 1 (one) prize and no entrant may win more than 1 (one) prize per Round. If no entrant answers all of the questions correctly, or if the relevant match is cancelled, abandoned or postponed beyond the period stated on the promotion page, no draw will take place and no prizes will be awarded for that Round, unless the relevant promotion page states otherwise.
13. CLOSING OF COMPETITIONS
13.1 Each Competition runs for the period specified on its Competition page, which will state the closing date and time of the Competition and the date on which the draw will take place. We will not cancel a Competition, reduce or substitute a prize, or change a closing date or draw date because of the number of entries received. Closing on a sell-out under clause 13.2 is not a change of the closing date.
13.2 A Prize Competition closes, for all entry routes, at the earlier of: (a) the closing time stated on the relevant Competition page; and (b) where the Competition page states a maximum number of entries available, the moment at which the last available entry is allocated (sell-out). Free Competitions are not subject to sell-out, and Free Entries may be made or awarded until the closing time stated on the relevant Competition page. No further entries will be accepted after a Competition has closed.
13.3 We reserve the right, in our sole discretion, to extend, shorten, suspend, modify or cancel a Competition where, for any reason beyond our reasonable control, any aspect of the Competition is not capable of running as planned (for example, by reason of technical failure, tampering, fraud or any cause that affects the security, fairness or proper conduct of the Competition). In the event that we close a Competition early, the winner will be selected from all valid and eligible entries received by us before the date of closure.
13.4 Daily Wins run in series. When a Daily Win closes, an identical Prize Competition – with the same prize, the same Ticket price and the same maximum number of entries available – opens in its place for as long as we continue the series. We may end a series at any time, but a Daily Win that has opened will always run to its close and be drawn.
14. THE DRAW AND THE WINNER
14.1 The winner or winners of each Competition are determined entirely at random, in accordance with the laws of chance, from all valid and eligible entries, however they were made or obtained – paid entries, Pass Entries, free postal entries and Free Entries alike. Each draw is conducted either: (a) using certified random number generator software that produces verifiably random and auditable results, operated across the full range of allocated entry numbers for the relevant Competition; or (b) by, or under the supervision of, an independent person, such as an independent promotional verification service. The draw takes place on the date stated on the relevant Competition page, once the postal entries received before closing have been processed, and may be streamed live, recorded and published, or its result published on the Website.
14.2 Each Competition has the number of winners and prizes stated on the relevant Competition page. Unless the Competition page states otherwise, there is one winner per Competition.
14.3 We will make reasonable attempts to contact the winner using the telephone number and email address held for their account. It is the entrant’s responsibility to keep their contact details up to date, and we will not be held responsible if they are recorded incorrectly.
14.4 If, for any reason: (a) we are unable to contact the winner within 5 (five) calendar days of the draw; (b) the winner fails to confirm acceptance of, or to claim, the prize within 30 (thirty) calendar days of the date on which we first contact them; or (c) the winner is disqualified for a breach of the Terms and Conditions, then (in each case as we may extend in our sole discretion) the winner will be deemed to have forfeited the prize and will have no claim in respect of it. In those circumstances we may, in our sole discretion, select an alternative winner from the valid and eligible entries, roll the prize over to a future Competition, or otherwise deal with the prize as we reasonably consider appropriate. We will not be liable to any person to whom a prize is incorrectly awarded as a result of incorrect contact details or a technical fault, and no compensation will be due.
14.5 We will use reasonable efforts to award each prize to the correct entrant. If, due to a technical, software, hardware or human error, a prize is awarded or delivered to the wrong person, we reserve the right to reclaim the prize and award it to the correct entrant, in our sole discretion and without admission of liability. If a prize is incorrectly delivered to you, you must promptly notify us, take reasonable care of the prize while it is in your possession, and return it to us (in the condition in which you received it) within 14 (fourteen) calendar days of receiving our return instructions; we will bear your reasonable return delivery costs.
14.6 In Instant Wins Draws, the winning entries are selected at random before the competition opens, by or under the supervision of an independent person who certifies and holds the list, and cannot be changed afterwards. When you play an Instant Win Ticket, it is allocated a number at random from those remaining in the competition, and you are told immediately whether it has won a prize and, if so, which. The prizes available and those already won are shown on the Competition page. An Instant Win Ticket must be played before it expires. A ticket that you bought, or received for a postal entry, expires when the Instant Wins Draw it was bought or entered for closes. A ticket included in a Pass expires as described in clause 8.2. Expired tickets are not refunded or replaced, and a prize attached to an entry that has not been played is not awarded. Clauses 14.3 to 14.5 and clause 15 apply to prizes won in Instant Wins Draws.
15. PRIZES
15.1 Each prize is as described on the relevant Competition page and remains our property until it has been delivered to or collected by the winner. Once a winner has been verified and confirmed in accordance with clause 14, we will make arrangements for its delivery or collection. We will make each prize available for collection or delivery within 30 (thirty) calendar days of the date on which the winner is verified and confirmed, unless a different date or a longer period is stated on the relevant Competition page. We do not offer a cash alternative in place of a prize, unless the relevant Competition page or the applicable Promotional Terms expressly state that a cash alternative is available or in the case described in clause 15.3. Where a cash alternative is stated to be available, its amount (a fixed sum or a percentage of the recommended retail price of the prize) will be as stated on the relevant Competition page or Promotional Terms, and the winner may choose between the prize and the cash alternative within the acceptance window set out in clause 14.4; once confirmed to us, the winner’s choice is final.
15.2 Each prize is available for collection free of charge from a location specified by us. If the winner would prefer the prize to be delivered to their address, delivery will be arranged through our delivery partners and the associated delivery fee will be payable by the winner. This applies to all prizes, including vehicles (such as cars, motorcycles and vans).
15.3 Prizes (including vehicles) are made available for collection or delivery within the United Kingdom (including Northern Ireland), the Isle of Man and the Channel Islands only, and may not be exported outside those territories. If the winner is not located within one of those territories at the time of winning, it is the winner’s responsibility either to provide an address within one of those territories for collection or delivery, or to elect to receive an alternative prize in the form of a cash payment (‘Cash Alternative’) in place of the prize (excluding actual cash prizes), where such Cash Alternative is available. Unless unavailable or otherwise provided on the relevant Competition page, the Cash Alternative shall represent 70% of the recommended retail price of the prize which otherwise would have been awarded to the winner (rounded to the nearest £1,000) as displayed on the relevant Competition page. The timeframe set out in clause 14.4 applies both to claiming the prize and to electing the Cash Alternative, and once the winner’s choice has been confirmed to us, it is final. If no Cash Alternative is available and the winner does not provide an address for collection or delivery within the abovementioned territories, the prize shall be deemed forfeited.
15.4 The winner is responsible for any and all taxes, fees and expenses relating to the acceptance, ownership or use of the prize. Each prize is subject to the terms and conditions of the relevant prize provider, manufacturer or supplier, is non-transferable, and cannot be exchanged or used in conjunction with any other voucher, offer or discount.
15.5 Where a prize is not capable of being delivered by standard courier, the winner is responsible for arranging, and for the cost of, its collection or delivery. We will store the prize free of charge for 30 (thirty) calendar days after notifying the winner, after which we will make arrangements with the winner for its collection or delivery.
15.6 We do not insure a prize once it has been delivered or collected, and we accept no responsibility for a prize once it has been handed over to the winner. If, for reasons beyond our reasonable control, we are unable to provide the advertised prize, we reserve the right to provide a substitute prize of equal or greater value or, where a suitable substitute cannot reasonably be sourced, to pay the winner a cash amount equal to the recommended retail price of the advertised prize as displayed on the relevant Competition page.
15.7 Any cash prize or cash alternative will be paid by bank transfer within 21 (twenty-one) calendar days of our receipt of the winner’s bank details. Payments are made in pounds sterling (GBP). If the winner requests payment in another currency, the amount will be converted using the exchange rate applicable at the time of the transaction; exchange rates fluctuate, and any conversion or processing fees charged by payment providers or financial institutions will be borne by the winner.
15.8 Where a prize is a voucher or gift card, the Competition page states its issuer or type. It is subject to the issuer’s terms, including its expiry date, and once it has been issued to the winner we cannot replace it or exchange it for cash, unless the Competition page offers a cash alternative. Where a prize is Game Credit, clause 9 applies to it.
16. ASTON VILLA PRIZES
16.1 This clause 16 applies where a prize includes attendance at, access to or participation in any match, event, experience, hospitality or other activity taking place at Villa Park or any other premises owned, occupied or controlled by Aston Villa Football Club Limited or any of its group companies (an “Aston Villa Prize”). This clause 16 also applies where a prize is an away match or other experience provided with or through Aston Villa at another venue. References to Villa Park and to Aston Villa’s requirements then include that venue and the requirements of its operator and of the organiser of the relevant match or event.
16.2 Where an Aston Villa Prize includes attendance at a football match at Villa Park: (i) the relevant match will be the match specified on the relevant Competition page or otherwise notified to the winner; (ii) the date and kick-off time of the match may be changed or rescheduled; (iii) if the winner or any permitted guest is unable to attend the match on the date and at the time on which it takes place, including following any change or rescheduling, neither we nor Aston Villa shall be required to provide tickets for an alternative match, an alternative prize, a cash equivalent or any other compensation, although we or Aston Villa may elect to provide an alternative in our or its discretion; (iv) the winner and each guest must be an Aston Villa supporter or a neutral supporter and must not be a supporter of the opposition team; and (v) the winner and each guest must not wear or carry the colours, clothing, flags, merchandise or other branding of the opposition team or any other football club.
16.3 Unless expressly stated otherwise on the relevant Competition page: (i) the winner and their guests are responsible for arranging and paying for their own travel to and from Villa Park or the relevant Aston Villa premises and for any accommodation, food, drink or other costs associated with attending or participating in the Aston Villa Prize; and (ii) the Aston Villa Prize is personal to the winner and may only be used by the winner and any guest or guests expressly permitted as part of the prize or, where the prize is for a child (for example, a mascot place), by a child nominated by the winner who meets the requirements stated on the relevant Competition page and is accompanied as those requirements provide. It may not be sold, transferred, exchanged or otherwise disposed of.
16.4 Admission to and continued presence at Villa Park or any other Aston Villa premises is at all times subject to: (i) any applicable ticket conditions of issue, ground regulations and codes of conduct; (ii) any dress code or other requirements applicable to the relevant area, hospitality facility or experience; (iii) any security, safety, safeguarding or operational requirements imposed by Aston Villa; and (iv) any other terms or requirements notified to the winner in connection with the Aston Villa Prize. The applicable information and policies for Villa Park are available on Aston Villa’s website at www.avfc.co.uk.
16.5 A person shall not be entitled to attend or participate in an Aston Villa Prize if they are, at the relevant time: (i) subject to a football banning order or any equivalent or similar order, restriction or sanction; (ii) banned or otherwise prohibited from attending Villa Park, Aston Villa matches or events; or (iii) otherwise prohibited by law, regulation or any applicable football authority rules from attending the relevant match or event.
16.6 Aston Villa may refuse admission to, remove from or require any person to leave Villa Park or other Aston Villa premises where that person: (i) does not satisfy the requirements of this clause 16; (ii) breaches any term, regulation or requirement referred to in clause 16.4; (iii) behaves in a manner which Aston Villa reasonably considers inappropriate, unsafe, disruptive, abusive or otherwise inconsistent with the standards reasonably expected of persons attending Villa Park or the relevant Aston Villa premises; or (iv) is otherwise liable to be refused admission or ejected under the applicable ground regulations or ticket conditions. Where admission is refused or a person is removed in accordance with this clause 16.6, neither we nor Aston Villa shall be required to provide any replacement or alternative prize or compensation.
16.7 Where an Aston Villa Prize includes an experience other than attendance at a football match, including attendance at another sporting event, concert, hospitality experience, tour, meet-and-greet or other event or activity, additional terms, eligibility criteria, age restrictions, timings, dress codes, security requirements or other conditions may apply. Any such requirements will be set out on the relevant Competition page or otherwise notified to the winner before participation.
16.8 The winner shall be responsible for ensuring that each of their guests complies with the requirements of this clause 16 and any other terms applicable to the Aston Villa Prize.
16.9 Where an Aston Villa Prize relates to a fixed date or event, the relevant Competition page may set shorter periods than those in clause 14.4 for accepting the prize and for giving us the names, forms and documents needed to deliver it. If those periods are not met, the prize is forfeited and clause 14.4 applies.
16.10 Where we or Aston Villa are unable to provide an Aston Villa Prize, or a material part of it, for a reason other than the winner or their guests being unable to attend or failing to meet the applicable requirements, we will offer the winner a reasonable alternative of a comparable kind.
16.11 To deliver an Aston Villa Prize, we share the details of the winner, their guests and any nominated child that are needed for that purpose with Aston Villa and, where relevant, with the host club, the venue and the travel or accommodation providers. Our Privacy Policy explains how personal data is used.
17. PUBLICITY
17.1 We may publish limited information to indicate that a valid prize was awarded for a Competition – for example, the winner’s name, county or country of residence, and a photograph – on the Website and our social media channels. We may invite (but will not require) winners to take part in reasonable publicity, including photographs and videos. If you do not wish your information to be published, please notify us in writing; you acknowledge that, even where you provide such notice, we may still be required to provide your details and winning entry to a regulator (including the Advertising Standards Authority) or to law enforcement on request.
17.2 For 1 (one) month after the end of each Competition, we will make available on request (by email to the address set out in clause 23) information indicating that a valid award took place, ordinarily the surname and county (or country) of residence of the winner. If you object to your surname and county being made available in this way, please tell us when claiming your prize; where you object, we may still be required to provide your details and winning entry to the Advertising Standards Authority or another regulator on request.
17.3 You may, if you wish, give us in your account the name and telephone number of a person we can contact to help us arrange a surprise if you win (‘Surprise Contact’). This is optional, and we decide in each case whether to arrange a surprise. By giving us those details you confirm that the person knows, and agrees, that you are sharing them with us. We use them only to arrange a surprise, as described in our Privacy Policy, and you or they can ask us to delete them at any time. A surprise may be filmed. By opting in to the surprise experience you agree to our filming it and publishing the recording on the Website and our social media channels. You can change your mind at any time, before or after publication, and we will then not publish the recording or will take it down.
18. PROHIBITED ACTIVITIES
18.1 You may only use the Services in accordance with these Terms and Conditions. You acknowledge and accept that you will not, nor will you assist nor encourage another to, engage in any of the following prohibited activities in connection with the use of the Services:
(a) engage in any form of fraudulent, improper or illegal activity, or any form of collusion or cheating;
(b) provide incorrect, inaccurate or misleading information when registering for your account;
(c) create or use multiple accounts;
(d) allow someone else to use your account (whether intentionally or unintentionally) or if you use or attempt to use another user's account;
(e) interrupt, interfere with, attack, disrupt, manipulate, gain unauthorised access to, or introduce any viruses, trojans or other malicious material into, the Website or any servers, software, systems or databases used in connection with the provision of the Services (or attempt to do any of the foregoing);
(f) use any device, software, or routine that interferes with the proper functioning of, or any other person's use of, the Services;
(g) breach, impair, interfere with, or circumvent any security systems or measures used to protect the Services (or attempt to do any of the foregoing);
(h) use any artificial intelligence tools when accessing the Services or data mining or extraction methods intended to scrape or extract data from the Services;
(i) collect or store any personally identifiable information from other users of the Services;
(j) develop or use any applications, software or APIs that interact with the Services without our prior written consent;
(k) in our reasonable discretion, engage in any activity which is objectionable, restricts or inhibits any other person from using or enjoying the Services, or may expose us to any harm or liability of any kind;
(l) use the Services if you are under 18 (eighteen) years old in breach of your obligations set out in clause 4.1;
(m) use the Services or access your account in breach of your obligations provided in clause 4.4, including where you use a VPN to disguise your location to use the Services or access your account;
(n) engage in any abuse and/or harassment of our employees; or
(o) make any comments about VillaWin which are, or create any posts or content in relation, or referring, to VillaWin which is, unlawful, libellous, defamatory, obscene, pornographic, indecent, vulgar, harassing, threatening, violent, invasive of another's privacy or publicity rights, abusive, inflammatory, fraudulent, and/or discriminatory or derogatory of any ethnic, racial, gender, or religious group.
18.2 Any entries or Free Entries obtained in breach of this clause may be void, and where a prize has been won using such entries it may be withheld, voided and re-drawn.
19. OUR LIABILITY
19.1 Nothing in the Terms and Conditions shall exclude or limit our liability for: (i) death or personal injury resulting from our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited as a matter of applicable law.
19.2 Subject to clause 19.1, we shall be liable for any loss or damage that is a reasonably foreseeable consequence of our breach of the Terms and Conditions or our negligence, but we shall not be liable for any loss or damage that is not reasonably foreseeable. We will not be liable for loss or damage caused by events beyond our reasonable control, by your misuse of the Services, or by any computer, network or software malfunction that is not caused by our failure to use reasonable skill and care.
19.3 Subject to clause 19.1, and except to the extent this would reduce your rights as a consumer below the level required by applicable law, our total liability to you in relation to any one incident or connected series of incidents shall be limited as follows: (a) where it relates to a prize you have won, to the value of that prize; (b) where it relates to the loss or deletion of, or a failure to process, your entry, to a replacement entry into another Competition or, where the entry was paid for, at your option, a refund of the price paid for that entry; and (c) in all other circumstances, to £100 (one hundred pounds).
19.4 Nothing in the Terms and Conditions affects your statutory rights as a consumer.
20. YOUR PERSONAL DATA
20.1 We will process your personal data in accordance with our Privacy Policy and our Cookie Policy, both of which are available on the Website. Please read them carefully, as they contain important information about how we use your personal data and about your rights.
21. COMPLAINTS
21.1 If you have a complaint about any aspect of the Services, please contact us using the details in clause 23, and we will deal with your complaint promptly, in accordance with our Complaints Policy on the Website.
22. MINDFUL PLAY
22.1 We are committed to responsible participation. Information about the tools available to help you stay in control, and about where to obtain support, is set out in our Mindful Play Policy on the Website. You must be 18 (eighteen) or over to take part. The tools and measures we make available reflect our commitment to the standards of the Voluntary Code of Good Practice for Prize Draw Operators published by the UK Department for Culture, Media and Sport.

24. OTHER LEGAL TERMS
24.1 Governing law. The Terms and Conditions, and any dispute or claim arising out of or in connection with them or your participation in the Competitions (including non-contractual disputes or claims), are governed by, and shall be interpreted in accordance with, English law. If you are a consumer resident in Northern Ireland, the Isle of Man or the Channel Islands, you continue to benefit from any mandatory protections of the law of the place where you live, and nothing in this clause affects those rights.
24.2 Jurisdiction. You may bring proceedings in respect of the Terms and Conditions in the courts of England and Wales. If you are a consumer, you may also be entitled to bring proceedings in the courts of the place where you live, and nothing in this clause removes that right.
24.3 Assignment. We may transfer our rights and obligations under the Terms and Conditions to any person, in whole or in part; this will not affect your rights. You may not transfer your rights or obligations under the Terms and Conditions without our prior written consent.
24.4 Severability. If any provision of the Terms and Conditions is found to be unlawful or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
24.5 No waiver. Our failure or delay in exercising or enforcing any right or provision of the Terms and Conditions shall not operate as a waiver of that right or provision.
24.6 Entire agreement. The Terms and Conditions (and any documents, rules or policies incorporated by reference) constitute the entire agreement between you and us relating to the Services and supersede all prior arrangements. Section headings are for convenience only and have no legal effect.
24.7 Third parties. No person other than you and us shall have any right to enforce the Terms and Conditions.
25. REFUNDS
25.1 All entries are final and, except as set out in this clause or as required by law, no refunds shall be made. We will refund an entry that was submitted after the relevant Competition had closed, or where we cancel a Competition before it is drawn. By entering a Prize Competition, you expressly request and consent to the immediate performance of the service by us – the allocation of your entry into the draw – and you acknowledge that, once your entry has been allocated into a Prize Competition that has closed, or once you play an Instant Win Ticket, the service is fully performed and you lose the statutory 14 (fourteen) day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, save where required by law. Free Entries are awarded free of charge and have no monetary value; no refund, payment or compensation is due in respect of any Free Entry. Cancellation of, and refunds for, a VillaWin Pass are dealt with in clause 8. Where an entry paid for with Game Credit is refunded, the refund is made in Game Credit, and no refund will exceed the amount you actually paid.
